Terms and conditions

1. The following definitions apply: “Candidate” means a person or limited company introduced by Reed to the Client for the purpose of a Position. If a Candidate is a limited company, any reference to being employed by a Client shall be replaced by being engaged by a Client.
   "Client" means the company, firm or organisation which has set up an account with Reed in order to use the Services. "Commencement Date" means the date for the commencement of the Services.“engaging a Candidate in any capacity” means employing, engaging or making use of a Candidate in any role on any basis, including without limitation, on a permanent, fixed term, temporary or self-employed basis.“Position” means a permanent or fixed term role within the Client’s organisation, as appropriate."Reed" means Reed.ai Limited."Reed Group" means all companies in the same group as Reed. Two companies are in the same group if they share the same ultimate holding company.“Regulations” means the Conduct of Employment Agencies and Employment Businesses Regulations 2003."Services" means the online recruitment services provided by Reed through its Application . The recruitment services include the introduction of candidates to be directly employed or engaged by the client in suitable Positions."Terms" means these terms and conditions. "Application" means
   www.Reed.ai
   and its Mobile App and includes without limitation their content, databases, software, code and graphics.

Reed shall provide the Services in accordance with these Terms. Clients must set up an account with Reed in order to gain access to the Services. The Services do not constitute an offer by Reed, and Reed reserves the right in its sole and absolute discretion to refuse to offer the Services to any person or organisation.

In respect of a Position, the Client shall provide Reed with the following information: (1) its full corporate name, address and registered number or, where not applicable, its full business and trading name and address, and the nature of its business; (2) the nature of the Position, including the type of work involved, the location, the hours of work, the commencement date, and the likely duration; (3) any risks to health and safety known to the Client and the steps taken by the Client to prevent or control such risks; (4) the experience, training, qualifications and any authorisations which are required by the Client including any which the Client is aware are required by law or by any professional body in respect of such Position; (5) any expenses payable by or to the Candidate; (6) the minimum remuneration, the intervals of payment, and any other benefits in relation to the Position; (7) the lengths of notice which the Candidate would be entitled to receive or be required to give for termination of employment; (8) if it intends to engage the Candidate otherwise than as an employee on a contract of services; and (9) if the Position involves working with vulnerable persons, including without limitation, persons under the age of 18, or persons in need of care or attention by reason of old age, infirmity or any other circumstances.

The Client is responsible for satisfying itself that a Candidate is suitable for the Position. It is also the Client’s responsibility to obtain a work permit for the Candidate wherever necessary.

The Client shall inform Reed immediately if it becomes aware of any circumstances which would render the employment of any Candidate detrimental to the interests of the Candidate or the Client. The Client must inform Reed of such circumstances by sending an email to support@reed.ai.

A legally binding contract between Reed and the Client comprising these Terms and the Payment Details Page will come into effect when the screen confirming the successful purchase of Services appears on the Application.

Reed shall perform the Services using information and criteria supplied by the Client. It is the Client's responsibility to provide accurate and up to date information.

The Client undertakes not to submit for inclusion in any job posting, any material which is illegal, defamatory, offensive, fraudulent, violent, discriminatory, obscene or sexually explicit or which may adversely affect Reed or Reed's reputation.

1. Payment terms:
   Online payment services will be carried out by Stripe. Online card payments shall be subject to Stripe’s terms and conditions.
   Credential-on-File.
   The Client may provide Reed with a recurring payment authority to enable Reed to take regular payments from the Client's nominated debit or credit card for payment of the Services (including payments under clause 9.7). When a recurring payment authority has been provided, the Client's payment credentials (primary account number and expiration date) will be stored on Stripe and Reed will be entitled to take regular payments for the Services from the nominated debit or credit card without the need to obtain individual authorisation for every payment. The Client may cancel or update a recurring payment authority at any time and Stripe will delete the Client's payment credentials. The Client will remain liable for any outstanding fees (if any) in the event that a recurring payment authority is cancelled prior to paying for all Services provided.When signing up for a Services subscription using a desktop device (including any free trial), the initial term is a period of 28 days (“the Term”). In the event of early termination, no refunds will be given. The Services will automatically renew for a further Term on the same terms and rates as are applicable on the date immediately prior to the relevant anniversary date, unless the Client terminates the Service by cancelling their subscription through going to their account management prior to the automatic renewal date. For the avoidance of doubt, any free trial will only be for duration as specified on the Payment details page. Thereafter the Services will be charged at the rate set out in the Payment Details Page plus VAT for every subsequent Term of automatic renewal. Please note that the rates charged and Term duration are different when signing up using IOS on a mobile device. These applicable rates and Term duration are set out on the IOS sign up pages.The Client will be liable for a permanent introduction fee of 8% of the Candidate’s Salary for the self-service offer (which means the total first year gross remuneration together with all bonuses and benefits) when it engages a Candidate in any capacity within 12 months of the Candidate being introduced by Reed (and calculated on a pro-rated basis for fixed term contract placements). A minimum introduction fee of £1,000 shall apply to all permanent placements and fixed term contract placements.An invoice will be submitted to the Client on receipt of the completed offer form. All invoices are payable within 14 days of receipt. Receipt of invoice shall be deemed to be two days after the date shown on the invoice. VAT is payable at the prevailing rate.Reed reserves the right to charge interest and compensation on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).If the Client engages a Candidate in any capacity within one year of the Candidate being introduced by Reed, or if the Client refers a Candidate to a third party which engages the Candidate in any capacity, and the Client fails to inform Reed of any such engagement, the Client will be liable for the permanent introduction fee of 25% of the upper salary band notified to Reed in the original job description.The Client must provide Reed with post-interview feedback within 7 days of making a job offer to a Candidate and provide Reed with the salary, start date and job description on the online offer form. Reed may, in its sole and absolute discretion, add to, modify or discontinue any of the Services from time to time. However, this will not affect any Services agreed prior to any change or withdrawal of the relevant Service.

Reed reserves the right to change the fees and/or these Terms from time to time, provided that no change shall be retrospective.

Without prejudice to any other remedy, Reed may terminate the Client's account and any or all contracts and Services with immediate effect in the event of material or persistent breach of these Terms by the Client or if Reed has reasonable grounds to believe that the Client cannot or will not pay its debts.

1. Reed reserves the right to close any account immediately without liability if, in its opinion, any of the following has occurred:
   the Client has not provided full or accurate contact or company information;Reed considers the Client is acting inappropriately or illegally;the Client is using the Application to advertise Applications, services, businesses and/or business opportunities in any part of the job vacancy or on any part of the site;the Client fails Reed's credit checking process or employer verification process;the Client has shared its access to the Services with a third party.

The Client agrees to use the Application and the Services in 'good faith' i.e. to post authentic jobs which provide both adequate and accurate job details. The Client also agrees that any abuse of the Services, Application or these Terms can result in the Client's access to the Services being removed, and its account terminated.

All intellectual property rights connected with the Services and/or the Application shall remain vested in Reed or any third party from whom such rights are licensed. The Client shall not reproduce, copy, modify, adapt, publish, transmit, distribute or in any way commercially exploit any material which is subject to any such intellectual property rights.

Reed cannot guarantee that (i) the Application and/or the Services will be available at all times; (ii) the Application will be free from errors, viruses and/or other harmful applications; and (iii) the Services will generate any applications, responses or results. For the avoidance of doubt, no Service is guaranteed to result in a placement.

For the sake of clarity and the avoidance of doubt, the Client acknowledges that it is acting as a data controller for the purpose of current data protection legislation in connection with any personal data it obtains in the provision of the Services by Reed. It is the Client's responsibility to comply with its obligations as a data controller and to satisfy themselves of the legal grounds for processing any personal data.

Reed acknowledges that it will act as a data controller for the purposes of current data protection legislation and that it will comply with its legal obligations in the provision of the Services.

Reed shall not be in breach of these Terms if events beyond its reasonable control prevent Reed from performing the Services.

It is the Client's responsibility to protect their computers against any viruses and malware.

These Terms and, where appropriate, the Order Confirmation contain the entire agreement and understanding between Reed and the Client. The Client acknowledges that it has not relied on any representation made by Reed in entering this contract, however, nothing in this clause shall exclude any liability for fraudulent misrepresentation. To the fullest extent permitted by law, all terms implied by law or statute are excluded.

In the event that the Client makes a claim against Reed for whatever reason, Reed's liability (if any) shall not exceed the price paid or to be paid by the Client for the Services. Under no circumstances shall Reed be liable for any consequential, indirect or special losses howsoever arising or for any loss of profits, revenue, interest, goodwill, business and/or savings (whether direct or indirect). Nothing in these Terms shall be construed to exclude Reed's liability for death or personal injury by negligence or any other liability which cannot by law be excluded.

If any clause or part of a clause is held to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining clauses or parts.

Notices to Reed shall be sent by email to support@reed.ai and notices to the Client shall be sent by email to the address supplied on set up of the Client's account.

From time to time Reed will contact Clients in order to evaluate the service they receive and also to promote Reed's services and products. Reed monitors the quality of job descriptions from time to time in order to provide a better service to candidates. The Client will not be entitled to bring any claim or legal proceedings in respect of any refund or other repayment, howsoever arising, 4 years after the date on which entitlement to such refund or repayment arose. For the avoidance of doubt, the website terms and conditions apply in addition to the above Terms.

The Client shall not resell any Services without the express written permission of Reed. Reed reserves the right to impose any restrictions it deems fit should it provide permission for the reselling of any of the Services.

Neither party shall disclose any information of the other which is designated confidential or which ought reasonably to be regarded as confidential, except for information which is already in the public domain (otherwise than by breach of this clause) or where disclosure is required by law.

The Terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

1. Vacancy postings
   By submitting a vacancy to the Application, the Client is authorising Reed to post such vacancy and submit candidates ranked by Reed in accordance with the Client's criteria (if any).The Client is responsible for the content of the vacancy and will indemnify Reed against any claim, loss, liability, expense and/or damage ("Losses") in connection therewith.The Client is responsible for verifying the information contained in applicants' responses and Reed accepts no responsibility for the content of any such application. In particular, but without limitation, the Client is responsible for verifying the applicant's identity, eligibility to work, experience, training, qualifications and authorisations required by the Client, by law or by any relevant professional body for the vacancy.All and any subsequent dealings between the Client and any applicant in connection with the applicant's response to the job posting are the responsibility of the Client, and Reed accepts no liability whatsoever therewith. The Client will indemnify Reed against any Losses in connection therewith.

The Client will comply with all applicable laws, including without limitation: current data protection legislation and the Equality Act 2010. By submitting a vacancy to the Application, the Client thereby confirms that the content of the vacancy complies with the Code of Practice on Employment provided by the Equality and Human Rights Commission. The Client shall indemnify Reed against any Losses in connection therewith.

The Client, if an employment agency or an employment business, will comply with the provisions of the Conduct of Employment Agencies and Businesses Regulations 2003 ("the Regulations") and the Employment Agencies Act 1973 in relation to all vacancies posted on Reed's site, communications with applicants and management of applicants' details. The Client shall indemnify Reed against any Losses in connection therewith.

1. The Client shall not post any vacancy where:
   there is a risk to the health and safety of any applicant at the location where the work is to be performed, unless the Client undertakes to inform the candidates of such risks and the steps taken to prevent or control such risks; orthe role involves working with vulnerable persons, including without limitation persons under the age of 18 or persons in need of care and attention by reason of old age, infirmity or any other circumstances.

By posting any vacancy set out in sub-clauses 32 (1) and (2) above, the Client is deemed to give the relevant undertakings.

The Client accepts responsibility for any detriment which it may suffer or incur in respect of the engagement of an applicant and shall hold Reed harmless against any Losses in connection therewith. The Client shall use all reasonable endeavours to ascertain that it will not be detrimental to the interests of the applicant it intends to engage (if any) to work for the Client in the vacancy posted.

The Client, if an employment agency or an employment business, will comply with the provisions of the Conduct of Employment Agencies and Businesses Regulations 2003 and the Employment Agencies Act 1973 in relation to all jobs posted, communications with applicants and management of applicants' details. The Client shall indemnify Reed against any Losses in connection therewith.

1. Reed reserves the right in its sole and absolute discretion to remove any vacancy at any time without reason. Examples of vacancies that may be removed include, but are not limited to:
   those that Reed considers illegal, inappropriate or fraudulentthose that directly or indirectly require or ask for application or registration feesthose that advertise, pyramid, network marketing or get-rich-quick schemesthose that have been indiscriminately posted or duplicated across multiple sectorsthose that advertise websites, services, businesses, business opportunities and/or contact detailsthose of Clients who solicit staff from any member of the Reed Group.
2. Attributions
   This service uses the ESCO classification of the European Commission.

These Terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
