Terms and conditions

Definitions:

1. "Application" means www.reed.ai and includes without limitation its content, databases, software, code and graphics.
2. “Candidate” means a person identified by the Application and presented to the Client for potential engagement in a Position. 
3. "Client" means the company, firm or organisation which has set up an account with Reed in order to use the Services. 
4. "Commencement Date" means the date for the commencement of the Services.
5. “engaging a Candidate in any capacity” means employing, engaging or making use of a Candidate in any role on any basis, including without limitation, on a permanent, fixed term, temporary or self-employed basis.
6. “Position” means a permanent or fixed term role within the Client’s organisation, as appropriate.
7. "Reed" means Reed.ai Limited (Company No. 00965669).
8. "Reed Group" means all companies in the same group as Reed. Two companies are in the same group if they share the same ultimate holding company.
9. "Services" means the online services provided by Reed through its Application. The services include the identification of candidates for suitable Positions.
10. "Terms" means these terms and conditions. 

Services:

11. Reed shall provide the Services in accordance with these Terms. Clients must set up an account with Reed in order to gain access to the Services. The Services do not constitute an offer by Reed, and Reed reserves the right in its sole and absolute discretion to refuse to offer the Services to any person or organisation.
12. In respect of a Position, the Client shall provide Reed with the following information: (1) its full corporate name, address and registered number or, where not applicable, its full business and trading name and address, and the nature of its business; (2) any relevant information required by the Application in order to identify suitable Candidates.
13. The Client is responsible for satisfying itself that a Candidate is suitable for the Position. It is also the Client’s responsibility to obtain a work permit for the Candidate wherever necessary.
14. The Client shall inform Reed immediately if it becomes aware of any circumstances which would render the employment of any Candidate detrimental to the interests of the Candidate or the Client. The Client must inform Reed of such circumstances by sending an email to support@reed.ai.
15. A legally binding contract between Reed and the Client comprising these Terms will come into effect when the Client accepts them as part of the registration process.
16. Reed shall perform the Services using information and criteria supplied by the Client. It is the Client's responsibility to provide accurate and up to date information.
17. The Client undertakes not to submit for inclusion in any job posting, any material which is illegal, defamatory, offensive, fraudulent, violent, discriminatory, obscene or sexually explicit or which may adversely affect Reed or Reed's reputation.

Payment terms: 

18. The Client will be liable for a fee of 8% of the Candidate’s salary (which means the total first year gross remuneration together with all expected bonuses and benefits) when it engages a Candidate in any capacity within 12 months of the Candidate being  identified and presented to the Client by the Application (and calculated on a pro-rated basis for fixed term contract placements). A minimum fee of £1,000 shall apply.
19. An invoice will be submitted to the Client on receipt of the completed offer form. In the event that the Client does not complete an offer form, but Reed receives confirmation that the Candidate commenced in a Position, Reed will issue an invoice to the Client. All invoices are payable within 14 days of receipt. Receipt of invoice shall be deemed to be two days after the date shown on the invoice. VAT is payable at the prevailing rate.
20. Reed reserves the right to charge interest and compensation on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).
21. If the Client engages a Candidate in any capacity within one year of the Candidate presented to the Client, or if the Client refers a Candidate to a third party which engages the Candidate in any capacity, and the Client fails to inform Reed of any such engagement, the Client will be liable for the fee of 25% of the upper salary band notified to Reed in the original job posting.
22. The Client must provide Reed with post-interview feedback within 7 days of making a job offer to a Candidate and provide Reed with the salary and start date on the online offer form. 

Service changes and termination: 

23. Reed may, in its sole and absolute discretion, add to, modify or discontinue any of the Services from time to time. However, this will not affect any Services agreed prior to any change or withdrawal of the relevant Service.
24. Reed reserves the right to change the fees and/or these Terms from time to time, provided that no change shall be retrospective.
25. Without prejudice to any other remedy, Reed may terminate the Client's account and any or all contracts and Services with immediate effect in the event of material or persistent breach of these Terms by the Client or if Reed has reasonable grounds to believe that the Client cannot or will not pay its debts.
26. Reed reserves the right to close any account immediately without liability if, in its opinion, any of the following has occurred:
    
    1. the Client has not provided full or accurate contact or company information;
    2. Reed considers the Client is acting inappropriately or illegally;
    3. the Client is using the Application to advertise services, businesses and/or business opportunities in any part of the job vacancy or on any part of the site;
    4. the Client fails Reed's credit checking process or employer verification process;
    5. the Client has shared its access to the Services with a third party.

Acceptable use, IP and data protection:

27. The Client agrees to use the Application and the Services in 'good faith' i.e. to advertise authentic jobs which provide both adequate and accurate job details. The Client also agrees that any abuse of the Services, Application or these Terms can result in the Client's access to the Services being removed, and its account terminated.
28. All intellectual property rights connected with the Services and/or the Application shall remain vested in Reed or any third party from whom such rights are licensed. The Client shall not reproduce, copy, modify, adapt, publish, transmit, distribute or in any way commercially exploit any material which is subject to any such intellectual property rights.
29. Reed cannot guarantee that: 
    
    1. the Application and/or the Services will be available at all times; 
    2. the Application will be free from errors, viruses and/or other harmful applications; 
    3. the Services will generate any applications, responses or results. For the avoidance of doubt, no Service is guaranteed to result in a placement.
30. For the sake of clarity and the avoidance of doubt, the Client acknowledges that it is acting as a data controller for the purpose of current data protection legislation in connection with any personal data it obtains in the provision of the Services by Reed. It is the Client's responsibility to comply with its obligations as a data controller and to satisfy themselves of the legal grounds for processing any personal data.
31. It is the Client's responsibility to protect any device they use to access the Application against any viruses and malware
32. Reed acknowledges that it will act as a data controller for the purposes of current data protection legislation and that it will comply with its legal obligations in the provision of the Services.
33. Reed shall not be in breach of these Terms if events beyond its reasonable control prevent Reed from performing the Services.

General

34. These Terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
35. These Terms contain the entire agreement and understanding between Reed and the Client. The Client acknowledges that it has not relied on any representation made by Reed in entering this contract, however, nothing in this clause shall exclude any liability for fraudulent misrepresentation. To the fullest extent permitted by law, all terms implied by law or statute are excluded.
36. In the event that the Client makes a claim against Reed for whatever reason, Reed's liability (if any) shall not exceed the price paid or to be paid by the Client for the Services. Under no circumstances shall Reed be liable for any consequential, indirect or special losses howsoever arising or for any loss of profits, revenue, interest, goodwill, business and/or savings (whether direct or indirect). Nothing in these Terms shall be construed to exclude Reed's liability for death or personal injury by negligence or any other liability which cannot by law be excluded.
37. If any clause or part of a clause is held to be invalid or unenforceable, this will not affect the validity or enforceability of the remaining clauses or parts.
38. Notices to Reed shall be sent by email to support@reed.ai and notices to the Client shall be sent by email to the address supplied on set up of the Client's account.
39. From time to time Reed will contact Clients in order to evaluate the service they receive and also to promote Reed's services and products. Reed monitors the quality of job descriptions from time to time in order to provide a better service. 
40. The Client will not be entitled to bring any claim or legal proceedings in respect of any refund or other repayment, howsoever arising, 4 years after the date on which entitlement to such refund or repayment arose. For the avoidance of doubt, the website terms and conditions apply in addition to the above Terms.
41. The Client shall not resell any Services without the express written permission of Reed. Reed reserves the right to impose any restrictions it deems fit should it provide permission for the reselling of any of the Services.
42. Neither party shall disclose any information of the other which is designated confidential or which ought reasonably to be regarded as confidential, except for information which is already in the public domain (otherwise than by breach of this clause) or where disclosure is required by law.
43. The Terms shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

Vacancy postings:

44. The Client is responsible for the content of the vacancy and will indemnify Reed against any claim, loss, liability, expense and/or damage ("Losses") in connection therewith.
45. The Client is responsible for verifying the information contained in a Candidate’s response and Reed accepts no responsibility for the content of any such response. In particular, but without limitation, the Client is responsible for verifying the Candidate’s identity, eligibility to work, experience, training, qualifications and authorisations required by the Client, by law or by any relevant professional body for the vacancy
46. Any and all subsequent dealings between the Client and a Candidate are the responsibility of the Client, and Reed accepts no liability whatsoever therewith. The Client will indemnify Reed against any Losses in connection therewith.
47. The Client will comply with all applicable laws, including without limitation: current data protection legislation and the Equality Act 2010. By submitting a vacancy to the Application, the Client thereby confirms that the content of the vacancy complies with the Code of Practice on Employment provided by the Equality and Human Rights Commission. The Client shall indemnify Reed against any Losses in connection therewith.
48. The Client, if an employment agency or an employment business, will comply with the provisions of the Conduct of Employment Agencies and Businesses Regulations 2003 ("the Regulations") and the Employment Agencies Act 1973 in relation to all vacancies posted, communications with applicants and management of applicants' details. The Client shall indemnify Reed against any Losses in connection therewith.
49. The Client shall not post any vacancy where:
    
    1. there is a risk to the health and safety of any Candidate at the location where the work is to be performed, unless the Client undertakes to inform the Candidates of such risks and the steps taken to prevent or control such risks; or
    2. by posting any vacancy set out in sub-clause 49.1 above, the Client is deemed to give the relevant undertaking.
50. The Client accepts responsibility for any detriment which it may suffer or incur in respect of the engagement of an Candidate and shall hold Reed harmless against any losses in connection therewith. The Client shall use all reasonable endeavours to ascertain that it will not be detrimental to the interests of the Candidate it intends to engage (if any) to work for the Client in the vacancy posted.
51. Reed reserves the right in its sole and absolute discretion to remove any vacancy at any time without reason. Examples of vacancies that may be removed include, but are not limited to:
    
    1. those that Reed considers illegal, inappropriate or fraudulent
    2. those that directly or indirectly require or ask for application or registration fees
    3. those that advertise, pyramid, network marketing or get-rich-quick schemes
    4. those that have been indiscriminately posted or duplicated across multiple sectors
    5. those that advertise websites, services, businesses, business opportunities and/or contact details
    6. those of Clients who solicit staff from any member of the Reed Group.

Client verification:

52. As a condition of accessing Candidate contact details and profiles through the Application, each Client must successfully complete Reed’s employer verification process. The following terms apply:
    
    1. One-time verification. The verification check is conducted once, at the point of account set-up, by Reed's appointed verification partner (using CreditSafe). There is no charge to the Client for the verification process. Please note CreditSafe’s terms here: https://www.creditsafe.com/us/en/product/terms/general-terms-and-conditions.html
    2. Immediate platform access. In order to avoid disruption to the Client's onboarding experience, limited platform access may be granted to the Client immediately upon account creation, while the verification check is processed in the background. During this period, the Client acknowledges that full access to Candidate contact details may be subject to the outcome of the verification check.
    3. Verification data. The Client authorises Reed to carry out a credit and business verification check using the details provided at account set-up (including company name, registered number, and billing address). This check may involve access to credit reference agency data held by CreditSafe. 
    4. Failed verification. If a Client fails the verification check after platform access has been granted: 
       
       1. Reed will notify the Client by email; 
       2. the Client's account will be suspended and the Client will be unable to request or access Candidate contact details; and 
       3. Reed reserves the right to terminate the Client's account in accordance with these Terms. The Client will remain liable for any fees in respect of Candidates already identified and presented prior to suspension.
    5. Ongoing eligibility. Reed reserves the right to re-verify a Client's eligibility at any time if it has reasonable grounds to believe that the Client's circumstances have materially changed (for example, if the Client enters administration or is subject to insolvency proceedings). Reed will provide reasonable notice before carrying out any re-verification check.
